In the context of the proposed takeover bid announced by Vivendi SE, the Board of Directors of the Company, appointed today an ad hoc Committee from among its members, comprising :
- Mrs. Véronique Morali, independent member, who is also appointed Chairman of the ad hoc Committee,
- Mrs. Valérie Bernis, independent member,
- Mr. Nicolas Sarkozy, independent member,
- Mr. Pascal Jouen, member representing employees,
- Mr. Arnaud Lagardère, Chairman and CEO of the Company.
Mr. Pierre Leroy, Board Advisor, will also participate in the meetings of the ad hoc Committee, without voting rights.
The Board of Directors will meet again in the next few days to appoint, on the recommendation of the ad hoc Committee, an independent expert in accordance with the General Regulations of the French Financial markets authority (Autorité des marchés financiers).
The Board of Directors also took note of the resignation of Mr. Joseph Oughourlian from his position as director in connection with the acquisition by Vivendi SE of Amber Capital’s entire stake in the Company.
Finally, the Board of Directors appointed Mrs. Noëlle Genaivre, member representing employees, to its Appointments, Compensation and CSR Committee.
