How to participate in Shareholders’ Meeting

Any shareholder, irrespective of the number of shares he possesses, is entitled to participate in Ordinary or Extraordinary General Meetings of Shareholders:

  • The Ordinary General Meeting of Shareholders must take place at least once a year. Its role is specifically to approve the accounts of the past financial year, to fix the amount of the dividend, appoint or renew the Members of the Supervisory Board.
  • The Extraordinary General Meeting of Shareholders decides on matters relative to the modification of the company’s Articles of Association and regarding the majority of financial transactions, particularly those directly concerning shares (increase in share capital, free allotment of shares, exchange operation, Etc.)


Notice to attend

Holders of registered share accounts can easily take part in General Meetings of Shareholders, since they are not required to produce proof of share ownership and are invited to attend directly by the company by means of a letter to their home address which includes the informational documents they require.


Participation

To facilitate organisation, LAGARDERE shareholders wishing to attend the meeting are requested to return the admission card sent to them with the notice to attend and other documentation as quickly as possible and, in any event, to ensure that it reaches the company not later than 5 days before the meeting.
If unable to attend the meeting personally, the shareholder can be represented by his spouse, give a proxy to another shareholder or send a proxy form to the company without indicating any name.
In the latter case, a vote in favour of the adoption of resolutions presented by the Governance will be made in his/her name by the President of the Meeting.
Shareholders may also vote by correspondence by completing a form which should reach the company at least 3 days before the date of the meeting.


Communication

Shareholders are entitled to use the right to speak at General Meetings of Shareholders. During the fortnight preceding the Meeting, any shareholder may consult various documents and information on the subject of the meeting at the company’s registered office or administrative headquarters. He/she may also ask the company to send him/her the documents and information required by law.
